Terms of Service & Terms of Sale

These Terms of Service and Terms of Sale ("Terms") govern access to and use of https://minitickets.com and related Minitickets services (collectively, the "Service"), including the listing, sale, purchase, delivery, and use of tickets. The Service is operated by Minitickets, Inc., a Delaware corporation ("Minitickets," "we," "us," or "our").

By accessing or using the Service, creating an account, purchasing a Ticket, or listing or selling Tickets as an Organizer, you agree to these Terms and any policies incorporated into them by reference. If you do not agree to these Terms, do not use the Service.

1. Definitions

• "Buyer" means a person who purchases, receives, or uses a Ticket.
• "Event" means a concert, performance, conference, show, attraction, experience, gathering, or other event or activity listed through the Service.
• "Organizer" means a person or entity that creates, lists, produces, promotes, manages, or sells Tickets for an Event through the Service.
• "Ticket" means a digital or physical credential granting admission or access to an Event.
• "User" or "you" means any person or entity using the Service, including a Buyer or Organizer as applicable.
• "Platform Fee" means the fee Minitickets charges an Organizer for transactions processed through the Service.

Marketplace model

Minitickets provides technology that enables independent Organizers to create Event listings and sell Tickets. Unless Minitickets expressly states otherwise for a particular Event, Minitickets is not the Organizer, producer, promoter, venue operator, or performer of an Event. The Organizer is responsible for producing and delivering the Event.

For Tickets sold through Minitickets, Minitickets may act as a limited payment collection agent or technology provider for the Organizer. The contract relating to attendance at an Event is primarily between the Buyer and the Organizer, subject to these Terms and applicable law.

2. Eligibility

You must be legally capable of entering into a binding agreement to use the Service. A Buyer making a purchase represents that the information provided is accurate and that the Buyer is authorized to use the selected payment method. An Organizer represents that the individual accepting these Terms has authority to bind the Organizer.

3. Accounts

If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials. You are responsible for activity occurring through your account except to the extent caused by Minitickets. You must provide accurate and current information. Notify us promptly at support@minitickets.com if you believe your account has been accessed without authorization.

We may suspend or restrict an account where reasonably necessary to protect Buyers, Organizers, Minitickets, payment processors, or the integrity of the Service.

4. Tickets and Purchases

4.1 Order acceptance

Submitting an order is an offer to purchase Tickets. A purchase is completed when the transaction is successfully processed and a confirmation is issued. We or the Organizer may cancel or reject a transaction where reasonably necessary, including because of:

• suspected fraud;
• payment failure;
• pricing or technical errors;
• violation of purchase limits;
• violation of these Terms; or
• cancellation of the applicable Event.

If a completed order is cancelled and a refund is required, the refund will be handled according to the Refund & Cancellation Policy and applicable law.

4.2 Ticket pricing

Ticket prices are determined by the Organizer unless otherwise expressly stated. For Tickets sold directly through Minitickets, the amount that will be charged to the Buyer is displayed before the Buyer completes the purchase. Minitickets currently does not add a separate mandatory booking or service fee to the Buyer unless such fee is clearly disclosed before purchase.

If Minitickets introduces any mandatory Buyer fee in the future, the total purchase price and applicable mandatory fees will be disclosed as required by applicable law before the Buyer completes the transaction. The Organizer's Platform Fee and payment-processing fees may be deducted from the Organizer's proceeds and do not change the price already disclosed to the Buyer unless expressly shown at checkout.

4.3 Currency

Each Event may be offered in a currency selected by the Organizer or supported by the Service. The applicable currency will be displayed before purchase. If the Buyer's payment method uses another currency, the Buyer's bank, card issuer, or payment provider may apply currency-conversion rates or fees. Minitickets does not control those rates or fees.

4.4 Pricing or technical errors

If a Ticket is offered at an incorrect price because of a technical, typographical, configuration, or other error, we may cancel the affected transaction and refund the amount paid.

4.5 Payment processing

Payments may be processed by Stripe or another third-party payment processor supported by Minitickets. Organizers may be required to establish and maintain a connected payment-processing account. Use of payment-processing services is also subject to the applicable payment processor's terms. Minitickets does not store full payment card numbers.

4.6 Ticket delivery

Tickets are generally delivered electronically through the Service, by email, through a digital wallet, or through another method shown during checkout. Buyers are responsible for:

• providing accurate contact information;
• safeguarding Tickets and QR codes;
• preventing unauthorized copying or distribution of Tickets.

A Ticket may be invalidated after it has been successfully scanned or otherwise redeemed. Minitickets and the Organizer may reject duplicated, invalid, refunded, cancelled, or fraudulently obtained Tickets.

4.7 Third-party or Link Events

Some Events displayed on Minitickets may redirect Users to another website or ticketing platform to complete registration or purchase ("Link Events"). For Link Events:

• Minitickets is not the ticket seller;
• payment is not processed by Minitickets;
• the third-party service's terms apply to the transaction;
• ticket delivery and refunds are handled by the third-party service and/or Organizer.

Displaying a Link Event does not constitute an endorsement by Minitickets.

5. Organizer Fees, Payments, and Financial Responsibility

This Section applies to Organizers selling Tickets directly through Minitickets.

5.1 Platform Fee

Minitickets may charge an Organizer a Platform Fee for transactions processed through the Service. The applicable Platform Fee may vary depending on the Organizer, Event, ticket type, commercial arrangement, account configuration, promotional arrangement, or other agreed terms.

The applicable Platform Fee will be disclosed to the Organizer before the affected Ticket sales begin, displayed in the Organizer's account or Event configuration, or otherwise agreed in writing or electronically between Minitickets and the Organizer. The Platform Fee may be structured as:

• a percentage of the transaction;
• a fixed amount;
• a combination of percentage and fixed amounts; or
• another pricing arrangement agreed with the Organizer.

The Platform Fee applicable to a transaction is the fee associated with that Organizer or Event at the time of the transaction. Minitickets will not retroactively increase the Platform Fee for a completed Ticket sale.

5.2 Changes to Organizer fees

Minitickets may change an Organizer's Platform Fee for future sales by providing notice or displaying the revised fee in the Organizer's account or Event settings before the revised fee takes effect. Unless otherwise agreed, a revised Platform Fee applies only to sales occurring after the revised fee becomes effective.

A custom written or electronic commercial agreement between Minitickets and an Organizer may override the standard Platform Fee terms for that Organizer.

5.3 Payment-processing fees

Payment processors such as Stripe may charge separate processing, payout, dispute, currency-conversion, or other fees. Those fees are governed by the Organizer's relationship with the applicable payment processor and are separate from the Minitickets Platform Fee unless expressly stated otherwise.

5.4 Organizer proceeds

Organizer proceeds generally consist of the Ticket transaction amount less:

• the applicable Minitickets Platform Fee;
• payment-processing fees;
• refunds;
• chargebacks;
• disputes;
• applicable taxes or withholding;
• amounts the Organizer owes Minitickets; and
• other deductions expressly agreed with the Organizer or permitted by applicable law.

Actual settlement mechanics may depend on the payment processor and payment configuration used for the Organizer.

5.5 Refunds

Refunds are governed by the Refund & Cancellation Policy, the applicable Event policy, and applicable law. When a full or partial refund is processed, the treatment of the Minitickets Platform Fee will be determined by the fee arrangement disclosed to the Organizer, the payment configuration, and applicable law.

If Minitickets credits or reverses a Platform Fee in connection with a refund, payment-processing fees or other third-party fees may nevertheless remain non-refundable.

5.6 Chargebacks and disputes

The Organizer is financially responsible for chargebacks, payment disputes, refunds, and associated fees arising from the Organizer's Events except to the extent caused by Minitickets' own error or as otherwise required by law. Minitickets may recover amounts owed by the Organizer through:

• deduction or offset against future proceeds where technically and legally permitted;
• the Organizer's connected payment-processing account;
• an invoice;
• an authorized payment method; or
• another lawful collection method.

The Organizer must reasonably cooperate with Minitickets and applicable payment processors in responding to disputes and chargebacks.

5.7 Reserves and delayed payouts

Where reasonably necessary because of unusual refund risk, fraud risk, dispute activity, Event cancellation risk, legal requirements, or payment-processor requirements, funds may be delayed, reserved, or withheld by the applicable payment processor or, where permitted by the applicable payment architecture, by Minitickets.

Nothing in these Terms requires Minitickets to release funds that are subject to a payment-processor hold, reserve, legal restriction, dispute, chargeback, or refund obligation.

5.8 Taxes

Each Organizer is responsible for identifying and satisfying taxes, reporting obligations, permits, licenses, and similar obligations applicable to the Organizer and its Events, except to the extent Minitickets or a payment processor is required by applicable law to collect, report, withhold, or remit an amount. Minitickets may collect, report, withhold, or remit taxes where required by law.

6. Organizer Responsibilities

An Organizer using the Service represents and agrees that:

1. it has authority to create and sell Tickets for its Events;
2. information in its Event listings is accurate and not materially misleading;
3. it will honor valid Tickets sold through the Service;
4. it will operate its Events in compliance with applicable laws, regulations, permits, venue rules, accessibility requirements, and safety requirements;
5. it owns or has permission to use Event names, trademarks, photographs, artwork, music-related materials, descriptions, logos, and other content uploaded to the Service;
6. it will promptly notify Minitickets of cancellations, postponements, material Event changes, or circumstances reasonably likely to result in significant refund or chargeback activity;
7. it will comply with applicable refund obligations;
8. it will not use the Service to sell Tickets for unlawful, fraudulent, misleading, or prohibited Events;
9. it will provide reasonable assistance needed to resolve Buyer support requests, refunds, disputes, and chargebacks.

The Organizer grants Minitickets a non-exclusive, worldwide, royalty-free license during the period in which an Event is listed to display, reproduce, format, distribute, and use Organizer-provided Event content as reasonably necessary to operate and promote the Event through the Service.

7. Organizer Access to Buyer Information

An Organizer may receive Buyer information only to the extent made available through the Service and permitted by the Minitickets Privacy Policy and applicable law. Organizer access to Buyer information must be used only for legitimate purposes connected with the Event, ticket fulfillment, admission, customer service, safety, legal compliance, or other purposes disclosed to the Buyer.

An Organizer may not sell Buyer personal information obtained through Minitickets or use it for unrelated marketing where such use is prohibited by the Privacy Policy, applicable consent choices, or applicable law.

8. Purchase Limits, Fraud, Bots, and Resale

8.1 Purchase limits

Minitickets or an Organizer may impose limits on the number of Tickets that may be purchased for an Event. Transactions exceeding applicable limits may be cancelled.

8.2 Fraud

Users may not:

• use stolen or unauthorized payment methods;
• create false accounts;
• manipulate payment or identity information;
• duplicate or forge Tickets;
• circumvent Event or account restrictions;
• use the Service to facilitate fraud.

Minitickets may cancel Tickets, restrict accounts, or cooperate with payment processors or law enforcement where reasonably necessary to prevent or investigate fraud.

8.3 Automated purchasing

Users may not use bots, automated purchasing systems, or other technical means to circumvent purchase limits, security controls, access controls, or queue systems in violation of applicable law, including the Better Online Ticket Sales Act where applicable.

8.4 Resale

Tickets may not be resold in violation of applicable law or Event-specific restrictions. Minitickets or the Organizer may invalidate Tickets reasonably determined to have been obtained or resold through fraud or in violation of enforceable Event restrictions.

9. Event Admission and Event Changes

9.1 Admission

Admission is subject to applicable Organizer and venue rules, capacity restrictions, age requirements, security procedures, and other Event conditions disclosed to Buyers. The Organizer or venue may refuse admission or remove an attendee for unlawful, unsafe, threatening, or materially disruptive conduct, subject to applicable law.

9.2 Event changes, postponement, and cancellation

Events may be cancelled, postponed, rescheduled, relocated, or otherwise changed. Buyer remedies are governed by the Minitickets Refund & Cancellation Policy, the Organizer's applicable Event policy, and applicable law. Where applicable law requires a refund notwithstanding an Organizer's policy, applicable law controls.

9.3 Assumption of risk

Attendance at an Event may involve inherent risks. To the fullest extent permitted by law, attendees assume ordinary risks associated with attendance at the Event. Nothing in these Terms waives rights or liabilities that cannot legally be waived.

10. Intellectual Property

The Minitickets Service, software, design, trademarks, branding, text, graphics, and other materials owned by Minitickets are protected by intellectual-property and other laws. Subject to these Terms, Minitickets grants Users a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purposes. Except as permitted by law or authorized by Minitickets, Users may not:

• copy or reproduce substantial portions of the Service;
• reverse engineer the Service;
• interfere with its operation;
• scrape or systematically extract data from the Service;
• use Minitickets trademarks without authorization.

Organizer-provided content remains owned by the Organizer or its licensors, subject to the license granted in Section 6.

11. Prohibited Uses

You may not use the Service to:

• violate applicable law;
• infringe intellectual-property, privacy, publicity, or other rights;
• facilitate fraud or deceptive practices;
• distribute malware or malicious code;
• interfere with Service security;
• impersonate another person or entity;
• create misleading Event listings;
• evade fees properly owed to Minitickets;
• misuse Buyer personal information;
• sell unlawful goods, services, admissions, or experiences.

Minitickets may remove content or suspend access where reasonably necessary to enforce these Terms or protect Users and the Service.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

MINITICKETS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER IMPLIED WARRANTIES TO THE EXTENT PERMITTED BY LAW.

MINITICKETS DOES NOT CONTROL THIRD-PARTY ORGANIZERS AND DOES NOT GUARANTEE:

• that an Event will occur as advertised;
• Event quality;
• performer appearance;
• venue conditions;
• Organizer conduct;
• attendance levels;
• Event profitability; or
• the accuracy of information supplied by an Organizer.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINITICKETS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

FOR A CLAIM BY A BUYER RELATING TO A PARTICULAR TICKET PURCHASE, MINITICKETS' AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT THE BUYER PAID THROUGH MINITICKETS FOR THE TICKETS GIVING RISE TO THE CLAIM, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

FOR A CLAIM BY AN ORGANIZER, MINITICKETS' AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE PLATFORM FEES PAID TO OR RETAINED BY MINITICKETS FROM THAT ORGANIZER DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY LAW.

These limitations do not apply to liability that cannot legally be limited.

14. Indemnification

14.1 Users generally

To the extent permitted by law, a User agrees to indemnify and hold harmless Minitickets and its directors, officers, employees, and agents from third-party claims arising from:

• the User's unlawful use of the Service;
• the User's material violation of these Terms; or
• the User's infringement of a third party's rights.

14.2 Organizers

An Organizer agrees to indemnify and hold harmless Minitickets and its directors, officers, employees, and agents from third-party claims, losses, damages, liabilities, penalties, and reasonable legal expenses arising from or relating to:

• the Organizer's Event;
• cancellation or failure to produce the Event;
• personal injury, property damage, or other claims arising from operation of the Event;
• misleading or inaccurate Organizer content;
• the Organizer's failure to honor valid Tickets;
• the Organizer's violation of applicable law;
• the Organizer's infringement of third-party intellectual-property or other rights;
• taxes, permits, or licenses for which the Organizer is responsible; or
• the Organizer's misuse of Buyer information.

This obligation does not apply to the extent a claim results from Minitickets' own unlawful conduct or negligence where liability cannot lawfully be shifted.

15. Suspension and Termination

Minitickets may suspend or terminate access to the Service where reasonably necessary because of:

• material violation of these Terms;
• fraud or security concerns;
• excessive chargebacks or refund risk;
• unlawful activity;
• payment-processor requirements;
• risk to Buyers, Organizers, Minitickets, or third parties.

Termination does not eliminate payment, refund, chargeback, tax, indemnification, or other obligations that arose before termination.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where applicable consumer law requires otherwise.

Buyers and other consumers

Except for disputes eligible for small-claims court or claims that applicable law permits to be brought in court, disputes between a consumer and Minitickets arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. Arbitration may take place remotely or in another location required by applicable law.

Organizers acting for a business

Disputes between Minitickets and an Organizer acting in a commercial capacity will be resolved by binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules unless Minitickets and the Organizer have entered into another written dispute-resolution agreement.

Class action waiver

TO THE EXTENT PERMITTED BY LAW, DISPUTES SUBJECT TO ARBITRATION MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Jury trial waiver

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL FOR A DISPUTE SUBJECT TO THESE TERMS.

Consumer arbitration opt-out

A consumer may opt out of the arbitration agreement by sending written notice to support@minitickets.com within 30 days after first accepting the applicable version of these Terms.

17. Changes to These Terms

Minitickets may update these Terms from time to time. The "Last updated" date identifies the latest version. Material changes will be posted through the Service or otherwise communicated where required. Changes to these Terms do not retroactively change the economic terms of a completed Ticket transaction.

A change to Organizer Platform Fees applies according to Section 5.2 and does not retroactively increase the Platform Fee on a completed Ticket sale. Continued use of the Service after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver of the right to enforce it later. An Organizer may be subject to additional written or electronic commercial terms agreed with Minitickets. If those terms conflict with these Terms, the more specific agreed terms govern with respect to that Organizer.

These Terms, together with policies and agreements incorporated by reference, constitute the applicable agreement between the User and Minitickets regarding the Service.
