These Terms of Service and Terms of Sale ("Terms") govern your access to and use of the website located at https://minitickets.com (the "Site") and the purchase of tickets through it. The Site is operated by Minitickets, Inc., a Delaware corporation ("Minitickets," "we," "us," or "our").

By accessing the Site, creating an account, or purchasing a ticket, you agree to these Terms. If you do not agree, do not use the Site.

1. Definitions

• "Event" means a concert, performance, show, attraction, experience, or other event for which tickets are sold through the Site.
• "Organizer" means the party responsible for producing and hosting an Event.
• "Ticket" means a digital or physical credential granting entry to an Event.
• "You" or "Buyer" means the person purchasing or using a Ticket.

Marketplace model. Minitickets provides a platform on which third-party Organizers list and sell Events. We act as a limited agent of the Organizer for the purpose of processing sales and collecting payment. The contract for attendance at an Event is between you and the Organizer. Minitickets is not the Organizer of, and does not produce or control, any Event.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to purchase Tickets. By purchasing, you represent that the information you provide is accurate and that you are authorized to use the payment method.

3. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@minitickets.com of any unauthorized use.

4. Tickets and Purchases

4.1 Order acceptance

Your order is an offer to buy. A purchase is complete only when we send a confirmation. We may refuse or cancel any order, including for suspected fraud, pricing errors, or violations of these Terms.

4.2 Pricing and fees

Ticket prices are set by the Organizer and shown to you in full before checkout. All prices are in USD unless stated otherwise. You are responsible for any applicable taxes.

4.3 Pricing errors

If a Ticket is listed at an incorrect price due to a technical or typographical error, we may cancel the order and refund any amount paid.

4.4 Payment

Payments are processed by our third-party payment processor Stripe. By purchasing, you agree to Stripe's terms. We do not store full payment card numbers.

4.5 Delivery

Tickets are delivered electronically to the email address or account you provide. It is your responsibility to provide a valid email and to safeguard your Ticket. Anyone presenting a valid Ticket may be admitted; protect your barcode/QR code from disclosure.

4.6 Third-party (Link) events

Some events listed on the Site are sold, or take registration, on a third-party platform, and we link you to that platform to complete your purchase (a "Link Event"). For Link Events, Minitickets is not the seller and is not a party to your transaction. The purchase, payment, fees, ticket delivery, refunds, and the event itself are governed by, and are the responsibility of, the third-party platform and the event organizer under their own terms and privacy policy. Listings on the Site, including Link Events, do not constitute our endorsement, and we are not responsible for the accuracy of listings submitted to us.

5. Ticket Limits, Resale, and Anti-Fraud

5.1 Purchase limits

We may impose limits on the number of Tickets per Buyer or per Event. Orders exceeding limits may be cancelled.

5.2 No automated purchasing (BOTS Act)

You may not use any bot, automated system, or other technical means to circumvent purchase limits, security measures, or queue systems, or to purchase Tickets in bulk. This prohibition reflects the federal Better Online Ticket Sales (BOTS) Act, 15 U.S.C. § 45c.

5.3 Resale

Tickets may not be resold above face value where prohibited by applicable state or local law, or resold in violation of these Terms or the Organizer's policies. We may void Tickets that we reasonably believe have been transferred or resold in violation of these Terms.

6. Entry, Conduct, and Event Changes

6.1 Admission

Admission is subject to the Organizer's and venue's rules, security screening, and capacity. The Organizer or venue may refuse entry or remove anyone for unlawful or disruptive conduct without refund.

6.2 Changes, postponement, and cancellation

Events may be changed, postponed, rescheduled, relocated, or cancelled. Your remedies in those situations are described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

6.3 Assumption of risk

Attendance at any Event is at your own risk. You assume all risks incidental to the Event, including risk of personal injury or loss of property, to the fullest extent permitted by law.

7. License and Intellectual Property

The Site and its content (text, graphics, logos, software) are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to use the Site for its intended purpose. You may not copy, scrape, reverse engineer, or create derivative works without our written permission.

8. Prohibited Uses

You agree not to: (a) violate any law; (b) infringe others' rights; (c) interfere with or disrupt the Site or its security; (d) use bots or automated tools except as expressly permitted; (e) misrepresent your identity; or (f) use the Site to facilitate fraud.

9. Disclaimers

THE SITE AND TICKETS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. We do not produce Events and are not responsible for an Organizer's performance, the quality, safety, or legality of any Event, or any Organizer's conduct.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINITICKETS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR A TICKET WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE TICKET(S) GIVING RISE TO THE CLAIM.

Some states do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Minitickets from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Binding individual arbitration. Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or any Ticket will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current consumer arbitration rules. Arbitration will take place in New Castle County, Delaware, or remotely, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and Minitickets agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Jury trial waiver. You and Minitickets waive any right to a jury trial.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to support@minitickets.com within 30 days of first accepting these Terms.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest version. Material changes will be posted on the Site. Your continued use after changes take effect constitutes acceptance.
