Organizer Agreement

This Organizer Agreement (the "Agreement") is entered into between Minitickets, Inc., a Delaware corporation with offices at 131 Continental Dr, Suite 305, Newark, DE 19713 ("Minitickets," "we," "us"), and the person or entity registering as an organizer ("Organizer," "you"). By creating an Organizer account, listing an Event, or accepting these terms electronically, you agree to be bound by this Agreement.

This Agreement supplements our Terms of Service & Terms of Sale (the "Terms"), which apply to every User, including you as an Organizer, together with our Refund & Cancellation Policy. If this Agreement conflicts with the Terms on a matter that is specific to Organizers, this Agreement controls for that matter. Nothing in this Agreement limits a Buyer's rights under the Terms, the Refund & Cancellation Policy, or applicable law. A separate written or electronic commercial agreement between you and Minitickets may control over this Agreement to the extent of a direct conflict.

1. The Platform and Our Role

Minitickets operates an online marketplace (the "Platform") that lets Organizers list events and sell tickets ("Tickets") to consumers ("Buyers"). Minitickets acts as the Organizer's limited agent for the purpose of marketing Events, processing Ticket sales, and collecting payment from Buyers. Minitickets is not the organizer, producer, promoter, or host of any Event. The contract for attendance is between the Organizer and the Buyer. The Organizer is solely responsible for producing and delivering each Event.

2. Organizer Accounts and Eligibility

You must provide accurate business, contact, tax, and banking information and keep it current. You represent that you are at least 18 and authorized to bind the entity you represent.

To sell Tickets, you must be located in, and maintain a payment account in, one of the following countries or regions: the United States, the United Kingdom, Canada, Switzerland, or a member country of the European Economic Area (EEA). We may add or remove supported countries over time and will indicate the current list during onboarding.

Before you can sell Tickets, you must complete onboarding and identity verification with our third-party payment processor and maintain a payment account with that processor in good standing. We and our payment processor may verify your identity and require additional information (including "Know Your Customer" and anti-fraud checks). Proceeds from your Ticket sales are settled to that payment account.

3. Listing Events

3.1 Your responsibilities

You are solely responsible for the content, accuracy, and legality of your Event listings, including titles, descriptions, dates, venue, age restrictions, line-up, images, ticket types, quantities, and prices. Listings must not be false, misleading, infringing, or unlawful.

3.2 Pricing and all-in disclosure

You set the face price of your Tickets. You acknowledge that applicable law — including the FTC Rule on Unfair or Deceptive Fees (effective May 12, 2025) — requires that the total price, including all mandatory fees, be disclosed to Buyers up front. You will not instruct or require us to hide or misrepresent mandatory fees.

3.3 Event currency

Each Event is priced in a single currency, which you select before the Event goes on sale. Every ticket price, promotional code, refund, and our Platform Fee for that Event is denominated in that currency. Once tickets are on sale the currency is fixed and cannot be changed; to sell the same Event in another currency, create a separate Event.

3.4 Right to remove

We may review, reject, edit the placement of, suspend, or remove any listing that we reasonably believe violates this Agreement, the law, or our policies, with or without notice. That includes a listing that sells outside the Platform (Section 3.5).

3.5 Sales stay on the Platform

When an Event is ticketed on Minitickets (a Free or Paid Event, not a Link Event), every ticket to it is issued through the Platform. You will not sell, or accept payment or any other consideration for, admission to that Event outside the Platform. That means no sales at the door or the venue, no cash, bank or app transfers, no other website or ticketing service, and no telling Buyers to pay you directly. Charging a cover at the door for an Event listed as Free counts as a sale outside the Platform. This does not limit what you sell at your Event other than admission, such as food, drinks, or merchandise.

If we find, or reasonably suspect, that an Event is selling outside the Platform, we may unpublish it, suspend your account, and, to the extent the applicable payment architecture allows, delay or withhold payouts as set out in Sections 3.4, 5, and 14, with or without notice.

4. Platform Fee

Minitickets may charge you a Platform Fee for Ticket sales processed through the Platform, as set out in Section 5 of the Terms. The applicable Platform Fee may vary by Organizer, Event, ticket type, account configuration, commercial arrangement, promotional arrangement, or other agreed terms, and may be a percentage, a fixed amount, a combination of the two, or another arrangement agreed with you. It will be disclosed to you before the affected Ticket sales begin, displayed in your account or Event settings, or otherwise agreed in writing or electronically.

A change to your Platform Fee applies only to sales made after it takes effect; a completed sale keeps the Platform Fee that applied to it. A custom written or electronic commercial arrangement may override the default Platform Fee terms for you. Buyers pay only the face price set by the Organizer, with no additional Buyer-facing service fee unless one is clearly disclosed to them before purchase; the Organizer bears the Platform Fee. Payment-processing fees charged by Stripe or another payment processor are separate from the Platform Fee, are charged under your arrangement with that processor, and may vary with the transaction and your payment configuration, unless expressly agreed otherwise.

5. Payment Processing and Payouts

5.1 Processing and settlement

Buyer payments are processed through our third-party payment processor. For Events processed through your own connected payment account, you are the merchant of record and settlement merchant for each Ticket sale, and proceeds, net of the Platform Fee and applicable payment-processing fees, are settled to that account by the processor. Some Events may instead be processed through a Minitickets account on individually agreed terms; for those Events, the terms agreed with you apply.

Buyers are charged in the Event's currency. If that currency differs from the settlement currency of your payment account, the processor converts the funds at its own exchange rate and charges a currency-conversion fee, which is deducted from your proceeds. You are responsible for that cost; you can avoid it by pricing the Event in your account's settlement currency.

5.2 Payout timing

When proceeds become available to you, and how often they are paid out, is determined by the payment processor and the settings of your payment account. Nothing in this Agreement promises payouts at a particular time.

5.3 Reserves and delayed payouts

Funds may be delayed, reserved, withheld, or otherwise restricted where reasonably necessary because of refund risk, chargeback activity, fraud risk, Event cancellation risk, legal requirements, or payment-processor requirements, to the extent supported by the applicable payment architecture and permitted by law.

For Events processed through your own connected payment account, the funds are held by the payment processor, not by Minitickets, and any delay, reserve, or restriction is applied by the processor under its own terms; Minitickets does not itself hold, reserve, or release those funds. For Events processed through a Minitickets account, Minitickets may hold funds to the extent agreed with you. Nothing in this Agreement requires Minitickets to release funds that are subject to a processor hold, reserve, legal restriction, dispute, chargeback, or refund obligation.

5.4 Payout method and accuracy

Payouts are made by the payment processor to the bank account or payment account you designate with it. You are responsible for the accuracy of your payout details; we are not liable for funds sent to an account you provided incorrectly.

5.5 Recovering amounts you owe

Where technically and legally permitted, Minitickets may recover refunds, chargebacks, chargeback fees, Platform Fees, taxes, or other amounts you owe under this Agreement by deduction or offset against amounts otherwise payable to you, through your connected payment account, by invoice, through an authorized payment method, or by another lawful method. Where funds are held by the payment processor rather than by Minitickets, the processor may debit your payment account under its own terms.

6. Refunds, Cancellations, and Chargebacks

6.1 Organizer bears the cost

You bear the ultimate financial responsibility for all refunds and chargebacks relating to your Events, except to the extent caused by Minitickets' own error, as otherwise required by law, or as agreed with you. For Events processed through your own connected payment account, refunds and disputed amounts are debited from that account by the payment processor under the processor's terms. Where required by our Buyer-facing Refund & Cancellation Policy or by law, Minitickets may initiate refunds to Buyers and recover those amounts from you as described in Section 5.5.

6.2 Event cancellation, postponement, or material change

If you cancel, postpone, materially change, or fail to hold an Event, you must promptly notify us and you must refund Buyers as our Buyer-facing Refund & Cancellation Policy, your Event's stated refund terms, and applicable law require. You authorize us to issue such refunds through the payment processor and to recover them as described in Section 5.5, and you will pay any shortfall on demand.

6.3 Chargebacks

You are responsible for chargebacks on your Events, including associated processor and dispute fees, which the payment processor debits from your payment account under its terms or which are recovered from you as described in Section 5.5. You will cooperate and provide evidence to contest illegitimate chargebacks.

6.4 Shortfall

If amounts recovered under Section 5.5 are insufficient to cover refunds and chargebacks for your Events, you will pay the deficiency to Minitickets within 10 days of invoice.

7. Taxes

You are responsible for identifying and satisfying taxes, reporting obligations, permits, licenses, and similar obligations applicable to you and your Events, except to the extent Minitickets or a payment processor is required by applicable law to collect, report, withhold, or remit an amount. Minitickets may collect, report, withhold, or remit taxes where required by law. You will provide the tax forms and information reasonably required for that purpose (for example, IRS Form W-9).

8. Organizer Representations and Warranties

You represent and warrant on an ongoing basis that: (a) you have the full legal right, licenses, and permits to produce and sell Tickets to each Event; (b) each Event and your listings comply with all applicable laws; (c) your content does not infringe any third party's intellectual property, privacy, or other rights; (d) you will honor valid Tickets and admit Buyers in accordance with your listing; (e) you will not use bots or manipulate sales; and (f) the information you provide is accurate.

9. Compliance with Law

You will comply with all laws applicable to your Events, including consumer-protection, ticketing, accessibility (ADA), data-protection, anti-money-laundering, and the federal Better Online Ticket Sales (BOTS) Act. You are responsible for venue safety, permits, insurance, and any age or licensing restrictions.

10. Buyer Data and Privacy

We provide you the Buyer information needed to admit attendees and run your Event — such as attendee name, ticket and check-in status, and the contact details and answers Buyers give at checkout, through our guest and check-in tools. You may not use the Platform to harvest, scrape, or export Buyer contact information for your own marketing. With respect to any attendee data we make available, you act as an independent controller and must: (a) use it only to fulfill the Event and as permitted by law; (b) maintain your own compliant privacy practices; (c) honor Buyer privacy rights (including CCPA/CPRA); and (d) not attempt to obtain or use Buyer contact data for unrelated marketing. You will indemnify us for your misuse of attendee data.

11. Intellectual Property

You grant Minitickets a non-exclusive, royalty-free, worldwide license to use, host, display, reproduce, and distribute your Event content, names, logos, and marks for the purpose of operating, marketing, and promoting the Platform and your Events. You retain ownership of your content. Minitickets retains all rights in the Platform.

12. Indemnification

You will defend, indemnify, and hold harmless Minitickets and its officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Events; (b) your listings or content; (c) your breach of this Agreement or violation of law; (d) refunds or chargebacks on your Events; or (e) your misuse of Buyer data.

13. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, MINITICKETS DISCLAIMS ALL WARRANTIES AND WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS. MINITICKETS' LIABILITY TO YOU IS LIMITED AS SET OUT IN SECTION 13 OF THE TERMS. We do not guarantee any level of sales or revenue.

14. Term, Suspension, and Termination

This Agreement starts when you accept it and continues until terminated. Either party may terminate for convenience on 30 days' notice. We may suspend your account or listings immediately, and, to the extent supported by the applicable payment architecture, delay or withhold payouts, if we reasonably suspect fraud, illegality, excessive refunds or chargebacks, insolvency, or a material breach. On termination, sections that by their nature should survive (including fees owed, refunds/chargebacks, indemnification, limitation of liability, and dispute resolution) survive. Termination does not relieve you of obligations for Events already sold.

15. Confidentiality

Each party will protect the other's non-public business information disclosed under this Agreement and use it only to perform this Agreement.

16. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes between you and Minitickets are resolved as set out in Section 16 of the Terms, including its arbitration, class action waiver, and jury trial waiver provisions for Organizers acting for a business.

17. Miscellaneous

This Agreement, together with the Terms, the Refund & Cancellation Policy, and the policies referenced in them, is the entire agreement between the parties on its subject and supersedes prior understandings. You may not assign it without our consent; we may assign it to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control (force majeure). If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Notices to you may be sent to the email on your account; notices to us go to support@minitickets.com. Nothing in this Agreement creates a partnership, joint venture, or employment relationship; for sales it covers, Minitickets acts only as the Organizer's limited payment-collection agent.
