Listing Terms

These Listing Terms apply when you submit an event to Minitickets that sells tickets or takes registration on a third-party platform, and you link to that platform from your Minitickets listing (a "Link Event"). They are an agreement between Minitickets, Inc., a Delaware corporation ("Minitickets," "we," "us"), and the person or entity submitting the listing ("you").

By submitting a Link Event, you agree to these Listing Terms. If your event sells tickets or takes registration through Minitickets (a Free or Paid event), the Organizer Agreement applies instead.

1. What a Link Event Is

For a Link Event, Minitickets displays a listing of your event and links visitors to a third-party site where tickets or registration are handled. Minitickets does not sell tickets, process payments, take registrations, collect any commission, or act as a party to any transaction for Link Events. All purchases and registrations happen on the third-party site, under that site's own terms and privacy policy.

2. Your Responsibilities

You represent and warrant that:

• You have the right to list the event and to link to the destination URL.
• Your listing is accurate, current, and not misleading (including title, date, location, price, and link).
• Your content does not infringe any third party's intellectual property, privacy, or other rights, and is not unlawful, deceptive, or spam.
• You will keep the listing up to date and remove or correct it if the event changes or is cancelled.

3. License to Display

You grant Minitickets a non-exclusive, royalty-free, worldwide license to host, display, reproduce, and distribute the listing content (including text, images, and marks you submit) for the purpose of operating and promoting the Minitickets listings and discovery experience. You retain ownership of your content.

4. No Responsibility for the Event or the Third-Party Site

Because Minitickets does not run the sale or the event, we are not responsible for: the third-party ticketing or registration site; the accuracy of its content; the transaction, payment, fees, delivery, or refunds; or the event itself, including its occurrence, quality, safety, or legality. Any dispute about a purchase or the event is between you (or the third-party platform) and the attendee.

5. Right to Remove

We may review, reject, re-rank, edit the placement of, suspend, or remove any listing or link that we reasonably believe violates these Listing Terms, the law, or our policies — with or without notice.

6. Privacy

For Link Events, Minitickets does not process attendee purchases and therefore does not collect attendee payment or registration data through the Site. Any personal data collected on the third-party site is governed by that site's privacy policy. Our handling of your account information is described in our Privacy Policy.

7. Compliance with Law

You will comply with all laws applicable to your event and your listing, including consumer-protection, advertising, and anti-spam laws.

8. Disclaimers and Limitation of Liability

THE LISTINGS SERVICE IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, MINITICKETS DISCLAIMS ALL WARRANTIES AND WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO A LINK EVENT OR THESE LISTING TERMS.

9. Indemnification

You will defend, indemnify, and hold harmless Minitickets and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your listing, your content, your event, your link destination, or your violation of these Listing Terms or any law or third-party right.

10. Governing Law and Dispute Resolution

These Listing Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction. Each party waives any right to a jury trial.
